License agreement

SM ERP is an internal accounting and operations application that Singularity Minded LLC (“we”, “us”) builds and runs for its own business. It is not sold, offered or made available to anyone else. This agreement sets the terms on which our own people use it.

1. Who may use it

Only Singularity Minded LLC’s partners and the personnel we authorize, signing in with their Singularity Minded Google Workspace account, may use SM ERP, and only for the company’s own bookkeeping, contracts and operations. Access ends when a person leaves the company or we turn it off.

2. License

We grant each authorized user a limited, non-exclusive, non-transferable, revocable license to use SM ERP for the purposes above. You may not copy, sell, sublicense, share access to, reverse engineer or use SM ERP for any other organization.

3. QuickBooks Online

SM ERP connects to Singularity Minded LLC’s own QuickBooks Online company, with Intuit’s accounting permission only, to keep the company’s books. It does not process card or bank payments. Your use of QuickBooks Online is governed by Intuit’s terms. SM ERP is not made, endorsed or supported by Intuit.

4. Data

The data SM ERP holds belongs to Singularity Minded LLC and is handled as described in the SM ERP privacy notice.

5. Ownership

SM ERP, its code and its design are owned by Singularity Minded LLC. All rights not granted here are reserved.

6. No warranty

SM ERP is provided “as is” for internal use, without warranties of any kind. The company’s official books are kept in QuickBooks Online and reviewed by its accountants.

7. Limitation of liability

To the extent the law allows, Singularity Minded LLC is not liable for indirect, incidental or consequential damages arising from the use of SM ERP.

8. Ending access

We may suspend or end anyone’s access at any time. Disconnecting SM ERP from QuickBooks Online, from either side, ends its access to the company’s QuickBooks data.

9. Governing law

This agreement is governed by the laws of the State of Nevada.
